These Terms of Service ("Terms") govern your ("Retailer," "you," or "your") access to and use of DistruCommerce, the business-to-business wholesale ordering platform provided by DistruCorp ("Distru," "we," "us," or "our"). By registering an account, accessing, or using DistruCommerce, you expressly agree to these Terms and our Privacy Policy (available at https://www.distru.com/legal/privacy-policy) and, if applicable, the California Resident Privacy Policy (available at https://www.distru.com/legal/ccpa-notice).

‍Eligibility & Retailer Representation You must:

Be at least 21 years of age;

Be duly licensed as a cannabis retailer under applicable state and local laws;

Maintain your license in good standing at all times and promptly notify Distru of any suspension, revocation, expiration, or other change to your licensing status.

Account Creation & Security You must provide accurate, complete, and current information when creating an account, including your first and last name, company name, state of operation, license number, and email address. You are responsible for safeguarding your account credentials and agree to notify Distru immediately of any unauthorized use of your account.

Data Collection & Usage Distru collects the following information:

Account Information: First and last name, company name, state, license number, email address, encrypted password.

Order Information: Products ordered, discounts, pricing tiers, Certificates of Analysis (COAs), order date/time, purchaser details, phone number, billing and shipping addresses.

Additional Data: Device information, usage patterns, and location information inferred from your IP address, as detailed in our Privacy Policy.

We collect and utilize this information solely to facilitate your transactions, improve our Services, and ensure compliance with regulatory obligations.Aggregated and Anonymized Data. Distru may collect and compile data and information related to your use of the Services in an aggregated and anonymized manner ("Aggregated Data"), provided that such Aggregated Data does not identify you or any individual user. Aggregated Data may be used by Distru for any lawful purpose, including but not limited to analytics, benchmarking, industry research, marketing, and improving our Services. Distru retains all rights, title, and interest in and to any Aggregated Data created.License & Use Restrictions Distru grants you a limited, revocable, non-exclusive, non-transferable license to access and use the DistruCommerce platform solely for lawful business purposes. You may not:

Reverse engineer, copy, modify, or distribute any aspect of our Services;

Use our Services in violation of any applicable laws or regulations;

Share account access or credentials with unauthorized users;

Engage in actions that could harm, disrupt, or negatively affect the Services or other users.

Intellectual Property Rights All content, trademarks, and proprietary features on DistruCommerce are the exclusive property of Distru or its licensors. Your use of the Services does not grant you any rights to our intellectual property, beyond the limited access expressly provided herein.

Confidentiality You agree to maintain the confidentiality of all proprietary or sensitive information you receive through DistruCommerce, using at least the same degree of care as for your own confidential information, but no less than reasonable care.

Compliance with Laws You are solely responsible for ensuring that your use of DistruCommerce complies with all applicable federal, state, and local laws, particularly those governing the sale and distribution of cannabis products. You acknowledge the federal illegality of cannabis under the Controlled Substances Act and assume all associated risks.

Disclaimer of Warranties DISTRUCOMMERCE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. DISTRU DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, DISTRU SHALL NOT BE LIABLE FOR INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF SUCH POSSIBILITY. DISTRU’S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) ONE THOUSAND DOLLARS ($1,000.00) OR (B) THE AMOUNT PAID BY YOU TO DISTRU IN THE THREE MONTHS PRECEDING THE CLAIM.

Termination Either party may terminate these Terms at any time. Distru may terminate or suspend your account immediately if you breach these Terms or lose your cannabis retail license. Upon termination, you remain responsible for any obligations accrued prior to termination.

Modifications to Terms Distru may update these Terms periodically. Changes will be posted prominently with a revised "Effective Date," and your continued use of the Services following such updates constitutes your acceptance of the revised Terms.

Governing Law & Jurisdiction These Terms are governed by the laws of the State of California, without regard to conflict of law provisions. Any disputes arising under these Terms will be subject exclusively to the jurisdiction and venue of courts located in California.

Severability & Waiver If any provision of these Terms is held invalid or unenforceable, that provision will be severed, and the remaining provisions shall remain in full force and effect. The failure of Distru to enforce any right or provision shall not constitute a waiver of future enforcement of that right or provision.

Entire Agreement These Terms, along with our Privacy Policy and California Resident Privacy Policy, constitute the complete agreement between you and Distru regarding your use of the Services and supersede any prior agreements, oral or written.
